Elosia Platform — End User License Agreement (EULA)
1. Acceptance of Terms
By accessing or using any Elosia software, governed artifacts, APIs, or related materials (collectively, the “Platform”), you agree to this End User License Agreement (“Agreement”).
If you do not agree, you must not access or use the Platform.
This Agreement is a binding legal contract between you and Elosia Governance Council (“Elosia”).
2. Nature of the Platform
The Platform is a governed technology environment. It is licensed — not sold — and is provided only under controlled use conditions.
No ownership, title, or intellectual property rights are transferred to you.
Unless expressly authorized under a separate commercial agreement, the Platform is provided for evaluation, research, and governed operational testing only.
3. License Grant
Elosia grants you a limited, revocable, non-exclusive, non-transferable license to:
- Use the Platform solely for your internal purposes;
- Access approved functionality as authorized;
- Operate governed artifacts only within permitted environments.
All use must remain within the scope defined by Elosia.
No rights are granted by implication, estoppel, or otherwise beyond those expressly stated in this Agreement.
4. Prohibited Use
You may NOT:
- Copy, modify, reverse engineer, or derive source materials;
- Redistribute, resell, sublicense, or expose the Platform to third parties;
- Attempt to bypass governance, safeguards, or access controls;
- Use the Platform to develop competing technologies;
- Extract data, models, or logic by automated or manual means;
- Use the Platform for unlawful, harmful, or high-risk activities;
- Represent the Platform as open-source or publicly licensed.
Any unauthorized use immediately terminates this license.
5. Governed Access Requirement
Access to the Platform is conditioned on intent-aligned use.
The Platform may enforce:
- Operational limits
- Audit requirements
- Execution controls
- Revocation without notice
These are core design features, not service guarantees.
Elosia reserves the technical ability to suspend, restrict, or disable access where misuse, risk, or policy conflict is detected.
6. User Responsibility
You are solely responsible for:
- All activity conducted under your access;
- Compliance with applicable law;
- Validation of outputs, decisions, and downstream effects.
The Platform provides tools — not authority, certification, or decision-making responsibility.
7. User Data
You retain ownership of data you submit (“User Content”).
You grant Elosia a limited license to process such data only as required to operate the Platform.
Elosia does not monitor, validate, or assume liability for User Content.
8. Intellectual Property
All Platform components — including architecture, methods, schemas, controls, and documentation — are protected intellectual property and trade secrets of Elosia.
Unauthorized disclosure or replication is strictly prohibited.
9. No Warranty
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
Elosia makes no warranties, express or implied, including:
- Fitness for purpose
- Accuracy of outputs
- Availability or uptime
- Suitability for regulated or critical use
Use is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law:
- Elosia shall not be liable for any indirect, consequential, or special damages, including loss of data, revenue, or business opportunity.
- Total liability shall not exceed the amount paid to Elosia (if any) in the preceding twelve (12) months.
11. Indemnification
You agree to indemnify and hold Elosia harmless from any claims arising from:
- Your use or misuse of the Platform;
- Your violation of this Agreement;
- Any outcomes produced through your deployment or interpretation.
12. Termination
Elosia may suspend or revoke access at any time, with or without cause.
Upon termination you must immediately cease use and destroy any licensed materials.
Sections relating to IP, liability, and restrictions survive termination.
13. Export and High-Risk Use
You may not use the Platform:
- In violation of export control laws;
- For weapons development or prohibited activities;
- In environments requiring certified safety systems unless separately authorized.
14. Governing Law
This Agreement is governed by the laws of the State of Delaware, United States.
All disputes shall be resolved exclusively in Delaware courts. You consent to personal jurisdiction in such courts and waive any objection to venue.
15. Modifications
Elosia may update this Agreement at any time. Continued use constitutes acceptance of the revised terms.
16. Entire Agreement
This Agreement constitutes the complete and exclusive understanding between you and Elosia regarding the Platform.
Acknowledgment
By accessing or using the Platform, you confirm that you:
- Understand this is a governed license, not a software sale;
- Accept all restrictions and responsibilities;
- Agree to comply fully with this Agreement.
